Continuing its strategy of delivering exceptional creative content to audiences around the world, The Walt Disney Company (NYSE: DIS) has agreed to acquire Lucasfilm Ltd. in a stock and cash transaction. Lucasfilm is 100% owned by Lucasfilm Chairman and Founder, George Lucas.

Under the terms of the agreement and based on the closing price of Disney stock on October 26, 2012, the transaction value is $4.05 billion, with Disney paying approximately half of the consideration in cash and issuing approximately 40 million shares at closing. The final consideration will be subject to customary post-closing balance sheet adjustments.

"Lucasfilm reflects the extraordinary passion, vision, and storytelling of its founder, George Lucas," said Robert A. Iger, Chairman and Chief Executive Officer of The Walt Disney Company. "This transaction combines a world-class portfolio of content including Star Wars, one of the greatest family entertainment franchises of all time, with Disney's unique and unparalleled creativity across multiple platforms, businesses, and markets to generate sustained growth and drive significant long-term value."

"For the past 35 years, one of my greatest pleasures has been to see Star Wars passed from one generation to the next," said George Lucas, Chairman and Chief Executive Officer of Lucasfilm. "It's now time for me to pass Star Wars on to a new generation of filmmakers. I've always believed that Star Wars could live beyond me, and I thought it was important to set up the transition during my lifetime. I'm confident that with Lucasfilm under the leadership of Kathleen Kennedy, and having a new home within the Disney organization, Star Wars will certainly live on and flourish for many generations to come. Disney's reach and experience give Lucasfilm the opportunity to blaze new trails in film, television, interactive media, theme parks, live entertainment, and consumer products."

Under the deal, Disney will acquire ownership of Lucasfilm, a leader in entertainment, innovation and technology, including its massively popular and "evergreen" Star Wars franchise and its operating businesses in live action film production, consumer products, animation, visual effects, and audio post production. Disney will also acquire the substantial portfolio of cutting-edge entertainment technologies that have kept audiences enthralled for many years. Lucasfilm, headquartered in San Francisco, operates under the names Lucasfilm Ltd., LucasArts, Industrial Light & Magic, and Skywalker Sound, and the present intent is for Lucasfilm employees to remain in their current locations.

Kathleen Kennedy, current Co-Chairman of Lucasfilm, will become President of Lucasfilm, reporting to Walt Disney Studios Chairman Alan Horn. Additionally she will serve as the brand manager for Star Wars, working directly with Disney's global lines of business to build, further integrate, and maximize the value of this global franchise. Ms. Kennedy will serve as executive producer on new Star Wars feature films, with George Lucas serving as creative consultant. Star Wars Episode 7 is targeted for release in 2015, with more feature films expected to continue the Star Wars saga and grow the franchise well into the future.
You don't get to blame George Lucas any more, people. Good news? Bad?

I hope it's directed by Quentin Tarantino.

Three years of fans' rapidly building hopes, then suddenly its 1999 again and everyone's angry and disappointed because not even a Godfather-level sequel could meet those kind of expectations.

The last 3 Star Wars Films were mediator at best.

Even Film Expert would agree with that.

I'm starting to think Disney is attempting some world-domination tactics, by buying up not only Marvel but Star Wars. It kind of makes me sick to think all the characters I grew up with are now housed under the same studio that brought us Hannah Montana.

Heard this news almost immediately after it happened. By complete and total chance, I was on the right site at the right time haha.

This dampened my day a little bit. I know it's a good thing for the property and you could make a case George Lucas shouldn't do any more Star Wars work (but it's his idea and his universe, so you really never had a legitimate argument until now when he sold the rights away). That said, no more Lucas means there's a high likelihood "Star Wars" as we know it will change tonally, narratively, and qualitatively.

The real problem I have with this deal is Disney's desire to put out a film in 3 years (not even really three given that 2012's pretty much over). I hope to God they already know what the next series of films is going to be about, because it's very telling if they're just now deciding to develop it and shove it up our buttholes when they've got a million other blockbusters slated to directly compete with it.

When we learn more about the direction of the next film (and then, ultimately, when it comes out), we can finally say whether or not this was for the better. At least as far as making good Star Wars movies goes, haha.

For real, 2015 is too soon.

Does that mean we get to see Star Wars toys in the Toy Story sequels?
& Direct-to-dvds (animated) of R2D2 & C3PO holiday specials?
*shwing!* I think they should retire Toy Story and end it on a high note, but it would be kinda cool to see little plastic Dengar goin' ham. Wanna get disintegrated? Get me integrated! That's Dengar's motto!

Also, Star Wars in Kingdom Hearts. Just sayin'.

Will Star Wars Episode 7 be a direct-to-DVD affair, kind of like Cinderella 2, Lady and the Tramp 4 and Snow White and the Seven Dwarfs 13?

Also, how do you go from George Lucas to Kathleen Kennedy?

Kathleen Kennedy presents STAR WARS: Episode 7 - The Curse of Darth Vader.

Oh yes, Kingdom Hearts.. that'll have a lot of Star Wars items & characters now.

I am trying to imagine what the Disney opening logo for Star Wars movies will be.
Also, Mickey Mouse will have a lightsabre instead of his magic hat?

Disney already made Star Wars, it was called John Carter.

Too soon?
